Agreement to Terms

By accessing or using HyperMint ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and HyperMint.

Eligibility

To use HyperMint, you must:

  • Be at least 18 years of age
  • Be a legal resident of the Philippines
  • Have the legal capacity to enter into binding contracts
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

Independent Contractor Relationship

IMPORTANT: By using HyperMint, you acknowledge and agree that:

  • You are an independent contractor, not an employee of HyperMint
  • No employment, partnership, joint venture, or agency relationship is created by these Terms
  • You are solely responsible for your own taxes, including income tax and any applicable business taxes
  • HyperMint does not provide employment benefits, insurance, or withhold taxes on your behalf
  • You have the freedom to determine your own working hours and methods
  • You may work with other platforms or engage in other business activities

Earnings & Commission Disclaimer

EARNINGS DISCLAIMER: You acknowledge and understand that:

  • Earnings are not guaranteed. Your income depends entirely on your individual effort, skills, and sales performance
  • Commission rates are subject to change with reasonable notice
  • Past performance or earnings examples do not guarantee future results
  • HyperMint makes no representations about potential income levels
  • You are responsible for all expenses you incur in connection with your activities

Account Status & Earnings Balances

IMPORTANT — PLEASE READ CAREFULLY:

  • All earnings balances are subject to account status. Balances may be withheld, adjusted, or forfeited if your account is suspended, terminated, or found to be in violation of these Terms
  • Commissions are only payable for legitimate, verified sales that are not subsequently cancelled, refunded, or charged back
  • We reserve the right to withhold payouts pending fraud investigation
  • Earnings from fraudulent, manipulated, or invalid sales will be reversed
  • Account termination for cause may result in forfeiture of unpaid earnings

Prohibited Activities

You agree NOT to:

  • Provide false or misleading information during registration or sales activities
  • Engage in fraudulent sales, fake leads, or manipulation of the referral system
  • Create multiple accounts or use another person's identity
  • Make false claims about products, services, or potential earnings
  • Harass, spam, or engage in aggressive sales tactics
  • Violate any applicable laws, regulations, or third-party rights
  • Attempt to circumvent security measures or access unauthorized areas of the Platform
  • Use automated tools, bots, or scripts to interact with the Platform
  • Engage in any activity that could harm HyperMint's reputation or business relationships

Commission Payments

  • Commissions are calculated based on verified, completed sales as defined in our commission structure
  • Payouts are processed according to the schedule published on the Platform
  • You must provide valid payment information to receive payouts
  • Minimum payout thresholds may apply
  • Commissions may be subject to clawback if sales are refunded, cancelled, or charged back within the applicable period
  • HyperMint reserves the right to delay payouts for verification purposes

Referral Program

Our referral program allows you to earn bonuses by inviting new agents. By participating:

  • Referral bonuses are paid only for legitimate referrals who complete registration and meet activity requirements
  • Self-referrals and fraudulent referrals are prohibited and will result in forfeiture of bonuses and potential account termination
  • Referral bonus rates and terms are subject to change
  • We reserve the right to void referral bonuses obtained through manipulation or abuse

Termination

By You: You may terminate your account at any time by contacting us. Earned commissions for verified sales will be paid according to normal payout schedules.

By Us: We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms
  • We suspect fraudulent or illegal activity
  • Your continued participation poses a risk to HyperMint or our partners
  • Required by law

Upon termination for cause, we reserve the right to withhold pending earnings and pursue legal remedies for damages.

Intellectual Property

The Platform and its content, features, and functionality are owned by HyperMint and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission. Your use of the Platform does not grant you any ownership rights.

Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYPERMINT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless HyperMint, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with applicable rules. You waive any right to participate in class action lawsuits. This agreement to arbitrate shall survive termination of your account.

Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
